Coca-Cola East Japan Co.Ltd. (TSE:2580) entered into a share exchange agreement to acquire Sendai Coca-Cola Bottling Co., Ltd. from Kamei Corporation (TSE:8037), Saura Co., Ltd. and others for ¥10.4 billion in stock on December 16, 2014. Pursuant to the transaction, one share of Sendai Coca-Cola Bottling will be exchanged with 2.563 shares of Coca-Cola East Japan Co. Ltd. Post-acquisition, Sendai Coca-Cola Bottling Co., Ltd. will become a wholly owned subsidiary of Coca-Cola East Japan Co. Ltd.
For the year ended December 31, 2013, Sendai Coca-Cola reported revenues of ¥58.5 billion, total assets of ¥35.7 billion, operating income of ¥67 million, net loss of ¥78 million and net assets of ¥14.44 billion. The deal is not subject to approval of the shareholders of Coca-Cola East Japan. The deal is subject to approval of Sendai Coca-Cola Bottling shareholders. The Board of Directors of Coca-Cola East Japan and Sendai Coca-Cola Bottling have approved the deal. The transaction is expected to close on April 1, 2015. Nomura Securities Co., Ltd. acted as the financial advisors for Coca-Cola East Japan Co.Ltd. City-Yuwa Partners acted as the legal advisor to Coca-Cola East Japan while Mori Hamada & Matsumoto acted as the legal advisor to Sendai Co.
