Teera-Mongkol Industry Public Company Limited (SET:TMI) agreed to acquire 99.99% stake in Green Earth Energy Company Limited from Global Power Industry Co., Ltd, Pramot Siriratanatrai and Somkiat Ratriprasatsuk for THB 27.8 million on March 15, 2019. Under the terms, Teera-Mongkol Industry will acquire 0.49 million shares comprising 0.49 million shares 1 share and 7500 shares from Global Power Industry, Pramot Siriratanatrai and Somkiat Ratriprasatsuk respectively at THB 55.5 per share. In related transaction, Green Earth Energy Company Limited agreed to acquire 99.98% stake in G Global Utility Supply Company Limited from Anchali Siriratanatrai, Pramot Siriratanatrai and Raksin Wirachinsir for THB 1 million on March 15, 2019. Under the terms, Teera-Mongkol Industry has paid THB 14 million as the deposit in order to conduct the due diligence for these transactions. At present, the due diligence has been done by AST Master Company Limited. Teera-Mongkol Industry has to pay the rest THB 14 million for shares of Green Earth Energy Company Limited and Global Utility Supply Company Limited within March 25, 2019. The transaction has been funded through loan from Teera-Mongkol Energy Company Limited, which is revolving capital, in the amount of THB 28 million. Green Earth Energy reported total assets of THB 18.05 million, net assets of THB 17.6 million, revenue of THB 0.13 million and net loss of THB 4.73 million as of December 31, 2018. The transaction has been approved from the quorum of the Teera-Mongkol Industry Board Meeting Teera-Mongkol Industry Public Company Limited (SET:TMI) cancelled the acquisition of 99.99% stake in Green Earth Energy Company Limited from Global Power Industry Co., Ltd, Pramot Siriratanatrai and Somkiat Ratriprasatsuk on March 15, 2020.
