As Sabuy Technology Public Company Limited (the "Company") has been approved by the resolution of the Annual General Meeting of Shareholders on April 27, 2022, as follows:

1. the Company issuing and allocating 7,518,584 newly issued shares with a par value of 1 baht per share at an offering price of 28.25 baht per share, totaling 212,399,998 baht to persons in Private Placement, which is a connected person of the Company, to Mr. Arnonchai Veerapravat ("MR.ARNONCHAI") for the payment of the investment in the ordinary shares of Advanced
   Information Technology Public Company Limited ("AIT") in the amount of 30,000,000 shares with a par value of 1 baht per share at an offering price of 7.08 baht per share.
2. the Company issuing and allocating 6,8 9 6 ,0 0 5 newly issued shares with a par value of 1 baht per share at an offering price of 28.25 baht per share, totaling 194,812,141.25 baht to persons in Private Placement, which is not a connected person of the Company, to Nakhonluang Capital Public Company Limited ("NAKON") for the payment of the investment in the newly issued ordinary shares of NAKON in the amount of 77,924,857 shares with a par value of 1 baht per share at an offering price of 2.50 baht per share.

In this regard, the issuance and allocation of newly issued ordinary shares to MR.ARNONCHAI and NAKON are private placement offering, which the Company has proposed to the shareholders' meeting of the Company. There is a resolution to clearly determine the offering price at the offering price of 28.25 baht per share, which is the offering price that is not less than 90 percent of the total market price of the Company's shares prior to the date on which the Board of Directors resolved to propose to the meeting of shareholders of the Company to consider and approve the issuance and allocation of the Company's newly issued ordinary shares, whereby the Company has set the subscription and payment date on June 13, 2022.

Therefore, in order to comply with the Notification of the Stock Exchange of Thailand Re: Rules, Conditions and Procedures for Consideration of the Request for Ordinary Shares or Preferred Shares for the Capital Increase as Listed Securities B.E. Before the first day that the Company's newly issued ordinary shares are offered, the Company has calculated the weighted market price between May 20 - June 10, 2022, totaling 15 trading days in order to determine the period for prohibiting the sale of shares (Silent Period) in the event that such shares are offered at an offering price that is less than 90 percent of the market price, details as follows:

Since the offering price of newly issued ordinary shares at 28.25 baht per share is not lower than 9 0 percent of the weighted average market price of the past 1 5 business days, it is not considered selling shares at a price lower than 90 percent of the market price according to the rules prescribed in the announcement. The Stock Exchange of Thailand Subject Rules and Conditions and the procedure for considering the request to accept ordinary shares or preferred shares in the capital increase as registered securities B.E. 2558 dated May 11, 2015, resulting in MR.ARNONCHAI and NAKON do not have a time limit for selling shares from a limited person offering (Silent Period) in any way.
