ReVolve Renewable Power Corp. announced a non-brokered private placement of units on November 16, 2023. Each Unit is comprised of one common share of the company and one common share purchase warrant, with each warrant exercisable to acquire one addition common share at a price of CAD 0.45 for a period of 18 months following the closing date of the Offering. In connection with the first tranche of the Offering, the company paid a cash commission of CAD 22,388 to certain arms-length third parties who assisted in introducing subscribers to the Offering, representing 5% of the proceeds raised from subscribers introduced to the company by such Finders. All securities issued and issuable pursuant to the offering are subject to a statutory hold period expiring March 17, 2024 in accordance with applicable securities laws and the policies of the TSXV. The transaction included the participation from Steve Dalton for 254,386 units and JosephO'Farrell for 350,877 units. The Offering remains subject to the final approval of the TSXV. Insiders of the company subscribed for a total of 605,263 units under the offering. Management, employees and insiders invested a total of CAD 226,740 in the offering.

On the same date, the company has issued 5,267,062 units at a price of CAD 0.285 per unit, for total gross proceeds of approximately CAD 1,501,112 in its first tranche closing. The company announced that it will now issue a further 2,850,000 units to include a second tranche of up to CAD 1,000,000 in the offering. The company intends to pay a cash commission of 5% to certain arms-length third parties who assisted in introducing subscribers to the offering. The Private Placement is subject to all necessary regulatory approvals including final approval from the TSX Venture Exchange. All securities issued in connection with the Private Placement will be subject to a four-month hold period from the closing date under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada.
