P3 Health Partners Inc. announced that it has entered into definitive agreements with certain institutional investors and lead institutional investor such as affiliates of Chicago Pacific Founders to sell approximately 67,400,000 units at an issue price of $0.6270 per unit for the gross proceeds of approximately $42,259,800 on May 22, 2024. Each unit consists of one share of Class A common stock and a warrant to purchase one share of Class A common stock at an exercise price of $0.5020. Certain institutional investors have elected to receive pre-funded warrants to purchase Class A common stock in lieu of a portion of their Class A common stock. The closing of the private placement is subject to certain conditions and is expected to occur on or about May 24, 2024. The offer and sale of the foregoing securities are being made in a transaction not involving a public offering and the securities have not been registered under the Securities Act of 1933, as amended.
On the same day, the company issued 31,900,000 units at an issue price of $0.6270 per unit for the gross proceeds of approximately $20,001,300 to Entities affiliated with Chicago Pacific Partners in its first tranche.
