John Hancock Premium Dividend Fund (the Fund) is a closed-end management investment company. The Fund's investment objective is to provide high current income, consistent with modest growth of capital. The Fund will pursue its objective by investing in a diversified portfolio comprised primarily of dividend paying preferred securities and common equity securities. Normally, the Fund will invest at least 80% of its net assets in dividend-paying securities. The Fund may invest in preferred securities and debt obligations rated investment grade at the time of investment or that are preferred securities of issuers of investment grade senior debt. The Fund may invest in fixed-rate preferred stocks that have fixed dividend rates. It may invest in money market instruments, which include short-term United States government securities, investment grade commercial paper, certificates of deposit, and banker's acceptances.
