Invoicery Int AB entered into an agreement to acquire SPACtvå AB from Grundbulten 115082 AB unä. to Stephen Schad Invoicery Invest AB, West Island AB, Invoicery Partners Sweden Ab and Stephen Schad in a reverse merger transaction.

Invoicery Int AB entered into an agreement to acquire SPACtvå AB (publ) (NGM:FRILAN) from Grundbulten 115082 AB unä. to Stephen Schad Invoicery Invest AB, West Island AB, Invoicery Partners Sweden Ab (Publ) and Stephen Schad in a reverse merger transaction on December 22, 2022. The total purchase price for the Acquisition amounts to SEK 150 million and is paid through cash of SEK 20.5 million and through a directed new issue of 23,545,455 shares in SPACtvå. After the transaction, the sellers will own 81.1% of the shares in SPACtvå. Grundbulten has undertaken to enter into a so-called lock-up agreement and not sell shares for a period of 18 months from the date of entry. However, after 6 months from the date of entry, with the current board of directors in SPACtvå's consent, Stephen Schad may hire a fund commissioner or investment bank to investigate the possibility and subsequently execute the sale of shares corresponding to a maximum of 20% of Stephen Schad's holdings to institutional investors. After the Acquisition, the new group is valued at an EV/EBITDA multiple of approximately 5.12.

The acquisition is subject to the shareholders' approval at an extraordinary general meeting in SPACtvå and shareholders of y Invoicery Partners. The board of Invoicery Partners Sweden AB will recommend that the shareholders approve the Acquisition. Spotlight has given preliminary approval for the listing of Invoicery int AB. The transaction is approved by the extraordinary general meeting of Spactvå AB on January 27, 2023. As of March 27, 2023, Spotlight Stock Market ("Spotlight") approved the relisting memorandum that SPACtva was ordered to draw up in connection with SPACtva deciding to acquire all shares in Invoicery Int. SPACtvå intends to change its name to Invoicery Group AB and that the company's short name at Spotlight changes from SPAC2 to FRILAN. The entire transaction is expected to be completed during the first quarter of 2023. As of March 31, 2023, SPACtvå AB changes its name to Invoicery Group AB and the first date of trade with new name will be April 4, 2022.
