VOLUNTARY ANNOUNCEMENT

PURCHASE OF SHARES BY A DIRECTOR

This announcement is made by Hopefluent Group Holdings Limited (the "Company", together with its subsidiaries, the "Group") on a voluntary basis.

The board (the "Board") of directors (the "Directors") of the Company was informed by Mr. Fu Ear Ly ("Mr. Fu"), an executive Director, that on 28 April 2021, Intelligent Youth Limited, a company wholly- owned by Mr. Fu purchased a total of 78,319,938 ordinary shares of the Company (the "Shares") from Fang Holdings Limited for an aggregate consideration of approximately HK$172,303,863 (representing an average price of approximately HK$2.20 per Share) (the "Purchase"). Mr. Mo Tianquan, a non-executive director of the Company, is deemed to be interested in Shares held by Fang Holdings Limited within the meaning of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Immediately following the Purchase, Mr. Fu is interested in 78,319,938 Shares, representing approximately 11.62% of the total issued share capital of the Company as at the date of this announcement.

Mr. Fu is the son of Mr. Fu Wai Chung, chairman and controlling shareholder of the Company, and Ms. Ng Wan, a non-executive Director, and the nephew of Ms. Fu Man, an executive Director.

Based on the information available to the Company and to the best knowledge of the Board, the Company has maintained sufficient public float of the issued Shares following the Purchase and as at the date of this announcement.

Shareholders and potential investors of the Company are advised to pay attention to investment risks and exercise caution when they deal or contemplate dealing in the securities of the Company.
