On March 29, 2024, Ford Motor Company announced that it has received a shareholder proposal from The National Center for Public Policy Research requesting Board that beginning in 2025, the Company report to shareholders (at reasonable cost and omitting proprietary information) on the extent to which its business plans with respect to electric vehicles and its charging stations may in practice involve, rely or depend on child labor outside the United States. The report would optimally be fully transparent with regard to sources relied on and its reliability, and any instances in which the Company has failed to determine whether child labor is implicated and the causes of those failures. In addition, the board has recommended shareholders to vote against this proposal at the 2024 Annual Meeting to be held on May 9, 2024.
