FirstGroup plc - Notification of Directors' Interests in Shares

Each Non-Executive Director of the Company listed below (other than John
McFarlane and Colin Hood who receive all of their fees in the form of shares in
the Company) has elected to receive 40% of his fees in the form of shares in
the Company.

Purchases took place on 24 January 2014 in accordance with standing
instructions as follows:
