Auchan Portugal - Hipermercados, S.A. agreed to acquire Dia Portugal Supermercados, SA from Distribuidora Internacional de Alimentación, S.A. for approximately ?160 million on August 3, 2023. The transaction is subject to antitrust approval. SG Corporate & Investment Banking acted as financial advisor for Distribuidora Internacional de Alimentación, S.A. Rafael Lucas Pires, Sara Quaresma and Pedro Marques of Cuatrecasas, Gonçalves Pereira & Associados R.L. acted as legal advisor to Auchan Portugal - Hipermercados, S.A.
Auchan Portugal - Hipermercados, S.A. completed the acquisition of Dia Portugal Supermercados, SA from Distribuidora Internacional de Alimentación, S.A. on April 30, 2024. Once the Conditions Precedent have been fulfilled, the Company informs that the closing of the Transaction has taken place. The consideration is subject to final settlement within sixty (60) days following this closing date.
Distribuidora Internacional de Alimentacion SA (DIA SA) is a Spain-based company primarily engaged in the operation of supermarket chains. The Company's scope of activities revolves around retail sale of food products through owned or franchised self-service stores operating under the DIA brand name. Its brand names range include DIA Market, Fresh by DIA, DIA Maxi, La Plaza de DIA, Max Descuento, Clarel, el Arbol, Cada DIA, among others. What is more, the Company retails personal care, health and household products, as well as wholesales furniture and related equipment to hospitality, catering and food industry. The Company operates in a number of countries, such as Spain, Brazil, and Argentina.
