NOTICE TO THE MARKET
SIGNING OF THE FINAL PAPERS FOR THE
ACQUISITION OF CECRISA
DURATEX S.A. (DURATEX or "Company") is pleased to inform its shareholders, and the market in general, that on July 31, 2019, it signed, through its subsidiary CEUSA, the final papers relating to the completion of the purchase of 100% of the shares in the company CECRISA REVESTIMENTOS CERÂMICOS S.A. ("CECRISA"). The operation has been approved, without restrictions, by CADE - the Administrative Council for Economic Defense. CECRISA's results will be incorporated into those of Duratex with effect from August 1, 2019.
The value of the acquisition, subject to variations in working capital and net debt, is up to R$539 million, as at May 22, 2019, and will be comprised of: (i) payment of R$264 million in cash; and (ii) possible additional amount of up to R$275 million upon verification of future suspensive conditions. The value of the CECRISA's net debt was R$442 million as at April 30, 2019.
The acquisition of CECRISA is aligned to Duratex's proposition of "Solutions for Better Living" and reaffirms its commitment to the generation of value for its shareholders and other stakeholders.
