On April 2, 2024, Rubric Capital announced that it has filed a preliminary proxy statement soliciting proxies and urged the shareholders of Xperi Inc to vote for: (i) 2 Rubric Capital nominees Deborah S. Conrad and Thomas A. Lacey; (ii) 3 company nominees unopposed by rubric capital Laura J. Durr, Jon E. Kirchner and Christopher Seams; (iii) to ratify the appointment of the Company?s independent registered public accounting firm for its fiscal year ending December 31, 2024; (iv) to the approval of two separate proposals to amend the Company?s amended and restated certificate of incorporation to eliminate supermajority voting requirement for stockholders to amend the Company?s amended and restated bylaws; and eliminate supermajority voting requirement for stockholders to amend certain provisions of the Company?s amended and restated certificate of incorporation. Rubric Capital stated that not vote for any of the remaining 2 Company nominees Darcy Antonellis and David C. Habiger at the 2024 annual meeting of the Company.
