Transfer of Own Shares as part of an Acquisition

WULFF GROUP PLC, CHANGES IN COMPANY'S OWN SHARES, JANUARY 4, 2022

Wulff Group Plc and the owner of Carpentum Ltd signed an agreement of sale on January 4, 2022, by which Wulff Group Plc acquired the share capital of Carpentum Ltd.

The Board of Directors decided to transfer 82,448 treasury shares held by Wulff Group Plc to the owner of Carpentum Ltd as part of the purchase price. The value of the transferred shares is approximately EUR 0.4 million. The value of the shares corresponds to the volume weighted average price of the company's shares quoted on Nasdaq Helsinki Ltd ("Helsinki Stock Exchange") between October 1, and December 31, 2021.

The transfer of the shares is based on the authorisation given to the Board of Directors by the Annual General Meeting on April 8, 2021. Following the transfer, the company holds 54,812 of its own shares. A separate stock exchange release regarding the completed acquisition has been published on January 4, 2022.
