On December 29, 2021, Westinghouse Air Brake Technologies Corporation entered into the third amendment to its Credit Agreement, dated as of June 8, 2018 (the Initial Credit Agreement) among the company, Wabtec Netherlands B.V. and the borrowing subsidiaries party thereto, the lenders party thereto, and PNC Bank, National Association, as administrative agent, as such Initial Credit Agreement was amended on February 22, 2019 by the first amendment thereto and on April 22, 2021 by the second amendment thereto. Amendment No. 3 changes the rate under the Credit Agreement for borrowings denominated in Sterling from a rate based on the London Interbank Offered Rate (LIBOR) to a rate based on the Sterling Overnight Index Average (SONIA) and changes the rate under the Credit Agreement for borrowings denominated in Euro from a LIBOR-based rate to a rate based on the Euro short term rate (€STR), in each case, subject to certain adjustments specified in the Credit Agreement, as amended by Amendment No.

3. Amendment No. 3 also provides for changes to certain terms and provisions to take into account these successor rates.
