Item 8.01 Other Events.

On September 1, 2020, in a private transaction, Sergei Stetsenko, our Director, acquired 1,250,000 shares of our common stock from Stanislav Bezusov, our Chief Technology Officer and Director, which represents all of the shares held by Mr.

Bezusov. The transaction price per share was $0.01 and Mr. Stetsenko acquired the shares using his personal funds.

After giving effect to the above transaction, Mr. Stetsenko now owns 2,750,000 shares of common stock or 24.124% of our total issued and outstanding shares of common stock.
