ISSUE OF FIRST PHASE OF 2016 CORPORATE BONDS BY SINO-OCEAN LAND LIMITED

The board of directors (the ''Board'') of Sino-Ocean Land Holdings Limited (the

''Company'') is pleased to announce that the China Securities Regulatory Commission (中 國證券監督管理委員會) has approved the proposed issuance of corporate bonds of no more than RMB5 billion (the ''Corporate Bonds'') by Sino-Ocean Land Limited* (遠洋地產有限 公司) (the ''Issuer''), an indirect wholly-owned subsidiary of the Company incorporated in

the People's Republic of China. The Corporate Bonds are proposed to be issued in phases subject to funding demand and the capital market condition.

On 18 May 2016, the Issuer and the underwriters have, through the result of a book-building process, determined that the first phase of the Corporate Bonds shall be issued on 19 May 2016 in RMB4 billion 3.5% Corporate Bonds of a five-year term, under which after the end of the third year, the Issuer shall be entitled to adjust the coupon rate and the bondholders shall be entitled to sell the bonds back to the Issuer. The Issuer intends to apply the net proceeds from the issue of the Corporate Bonds for repayment of existing indebtedness and replenishing general working capital.
