This announcement is made by Sino-Ocean Group Holding Limited (the ''Company'', together with its subsidiaries, the ''Group'') pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ''Listing Rules'') and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Pursuant to the relevant rules and regulations of the PRC and the requirements of the China Securities Regulatory Commission (中國證券監督管理委員會) in relation to corporate bond issued in the PRC by Sino-Ocean Land Limited (遠洋地產有限公司)

(''SOLL''), an indirect wholly-owned subsidiary of the Company and the principal subsidiary of the Company in the PRC, SOLL will publish, among other things, its unaudited consolidated financial statements for the six months ended 30 June 2017 prepared in accordance with the China Accounting Standards for Business Enterprises on the website of Shanghai Stock Exchange (http://www.sse.com.cn) on or around 29 August 2017.
