Woo & Company Co., Ltd., F1 Investment Co., Ltd., Damdang Co., Ltd, SJ W Invesment Fund, Peritus Partners and others agreed to acquire 49.9% stake in SC Engineering Co., Ltd from SC Sencess Co., Ltd. and Jang Jung Ho for KRW 50 billion.

Woo & Company Co., Ltd., F1 Investment Co., Ltd., Damdang Co., Ltd, SJ W Invesment Fund, Peritus Partners and others agreed to acquire 49.9% stake in SC Engineering Co., Ltd (KOSE:A023960) from SC Sencess Co., Ltd. and Jang Jung Ho for KRW 50 billion on December 7, 2020. Under the terms, 12.49076 million shares will be acquired at KRW 4003 per share. The consideration will be paid in tranches, the transfer of 6.9 million shares, upon completion of the deposit of the interim payment and balance 4.3 million shares, upon completion of the balance deposit. The transaction is subject to shareholders approval of SC Engineering Co., Ltd. The transaction is expected to complete on December 7, 2020.
SC Engineering Co., Ltd. is a Korea-based company principally engaged in the manufacturing and distribution of process equipment (PE) which are used in petro chemistry, oil refining, gas and power plants. The Company provides engineering services including engineering, procurement and construction (EPC) for precision chemical, biochemical, pharmaceuticals manufacturing, and food plants. Through its subsidiaries, SEWON CELLONTECH CO., LTD, SEWON CELLONTECH HYDRAULIC (SHANGHAI) CO., LTD., and RMS INNOVATIONS (U.K) LIMITED, the Company also involves in the production of chemical plant PE, including pressure vessels, reactors and columns; oil hydraulic equipment, including pumps, valves and cylinders; cell therapies, bio collagens, pharmaceuticals and cosmetics.
