Samhwa Networks Co. Ltd. announced that it will issue series 8 domestic bearer type interest part no guarantee private placement convertible bond for gross proceeds of KRW 10,000,000,000 on December 7, 2021. The transaction will include participation from Metis Global Contents New Technology Business Fund, a fund managed by IBK Capital Corporation. The bonds will bear surface interest rate of 0% per annum and maturity rate of 1% per annum. The bonds will mature on December 10, 2024. The bonds are fully convertible into 2,857,142 common shares representing 6.62% stake at a fixed conversion price of KRW 3,500 per share from March 10, 2022 to November 11, 2024. The date of subscription is December 7, 2021 and expected date of payment is December 10, 2021. The transaction is approved by the board of directors of the company.
