RS Technologies Co., Ltd. (TSE:3445) agreed to acquire Union Electronics Solutions Co., Ltd. from Junichiro Horiuchi on January 19, 2018. Under the transaction, RS Technologies Co., Ltd. will acquire 0.01 million shares representing 100% stake. Post transfer, Union Electronics Solutions Co., Ltd. will become a subsidiary of RS Technologies Co., Ltd. The contract conclusion is expected after May 2018. As of April 26, 2018, a contract is expected to be concluded on May 7, 2018. Union Electronics Solutions Co., Ltd. reported net assets of ¥242 million and total assets of ¥542 million as at March 31, 2017. Union Electronics Solutions Co., Ltd. reported sales of ¥1.05 billion, operating income of ¥7 million and net income of ¥1 million during the year ending March 31, 2017. The Board of RS Technologies Co., Ltd. passed a resolution for the transaction. The transaction is expected to be concluded after May 2018. As of April 26, 2018, the transaction is expected to be completed on May 7, 2018.
RS Technologies Co., Ltd. is a Japan-based company primarily engaged in the silicon wafer recycling business. The Company operates in three business segments. The Wafer segment is engaged in the recycling, process and sale of silicon wafers for semiconductors. The Prime Silicon Wafer Manufacture and Sale segment is engaged in the process and sale of silicon wafers for products including prime silicon wafers. The Semiconductor Production Equipment Purchase and Sale segment is engaged in sale of second-hand semiconductor related machinery and consumable goods to China.
