On January 9, 2023, Realty Income Corporation (the "Company") entered into a purchase agreement with Wells Fargo Securities, LLC, BofA Securities, Inc., Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC, as representatives (the "Representatives") of the underwriters listed therein (the "Underwriters"), pursuant to which the Company agreed to issue and sell to the Underwriters $500,000,000 aggregate principal amount of its 5.050% Notes due 2026 and $600,000,000 aggregate principal amount of its 4.850% Notes due 2030. The offering is anticipated to close on January 13, 2023, subject to the satisfaction of customary closing conditions.
