The consideration includes issuance of 0.33 million shares of common stock of Quarta-Rad, Inc. in exchange for 15 million shares of capital stock of Sellavir. The transaction is subject to certificates representing the Sellavir shares duly endorsed for transfer and conveyance to Quarta-Rad, a corporate resolution of the Board of Directors and stockholders of Sellavir approving the transaction, resignation of Sellavir officer and directors and third party approvals.
