Subject: Change of shareholding structure in subsidiary and execution of the Shareholders Agreement for joint investment in energy engineering company

Reference is made to the notification letter dated on 28 February 2022 to the Stock Exchange of Thailand regarding acquisition of 5 subsidiaries.

Prime Road Power Public Company Limited ( the " Company") would like to notify that the Board of Directors' Meeting No. 7/2022 held on 16 June 2022 has resolved to approve the change of shareholding structure in subsidiary for flexibility in management by transferring 99.99% shares in Prime Industrial Energy Company Limited ("PIE") from Prime Energy Service Company Limited (the Company's subsidiary) to the Company.

In addition, on 22 June 2022, the Company entered into the Shareholders Agreement with the Industrial Estate Authority of Thailand ("IEAT") in connection with the joint investment by IEAT purchasing shares in PIE from the Company in the proportion of 25% of the registered capital, equal to 25,000 shares at the price of 10 baht per share, totaling 250,000 baht for joint investment project in energy engineering company (renewable energy and energy conservation). The business goal of this joint investment is to operate renewable energy business, improve energy efficiency in the industrial estates and support the use of renewable energy by installing solar power generation systems for plants in the industrial estates throughout the country.

This transaction is not a connected transaction. The Company has also calculated the size of acquisition or disposition of asset transaction in accordance with the Notification of the Capital Market Supervisory Board No. TorJor. 20/ 2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposition of Assets (as amended) and Notification of the Board of Governors Re: Disclosure of Information and Other Acts of Listed Companies Concerning the Acquisition or Disposition of Assets B.E. 2547 (as amended). As a result, the transaction size is not subject to any disclosure under regulations on acquisition and disposition of assets of the listed companies.
