Item 4.01 Changes in Registrant's Certifying Accountant.
Effective as of January 11, 2021, the Board of Directors of Phoenix Rising
Companies, Inc., formerly known as Resort Savers, Inc., a Nevada corporation
(the "Company"), resolved to dismiss Total Asia Associates PLT as the Company's
independent registered public accounting firm. With the exception of a "going
concern" qualification, the reports of Total Asia Associates PLT on the
consolidated financial statements of the Company for the years ended December
31, 2019, and 2018, contained no adverse opinion or any disclaimer of opinion,
and such reports were not qualified or modified as to uncertainty, audit scope
or accounting principles.
During the periods ended December 31, 2019, and 2018, and through the interim
period preceding such termination, there were no disagreements with the former
registered public accounting firm on any matter of accounting principles or
practices, financial statement disclosure or auditing scope or procedure, which
disagreements, if not resolved to the satisfaction of the former registered
public accounting firm, would have caused it to make reference to the subject
matter of the disagreements in connection with its reports. Further, there were
no "reportable events," as described in Item 304(a)(1)(iv) of Regulation S-K of
the Securities and Exchange Commission (the "SEC") promulgated under the
Securities Exchange Act of 1934, as amended (the "Exchange Act").
Effective as of January 11, 2021, the Company engaged KCCW Accountancy Corp. to
audit its financial statements for the year ended December 31, 2020. During the
Company's two most recent fiscal years, and any subsequent interim period prior
to engaging KCCW Accountancy Corp., neither the Company nor anyone on its behalf
consulted the newly engaged accountant regarding: either the application of
accounting principles to a specified transaction, either completed or proposed;
or the type of audit opinion that might be rendered on the Company's financial
statements, and either a written report was provided to the Company or oral
advice was provided that the new accountant concluded was an important factor
considered by the Company in reaching a decision as to the accounting, auditing
or financial reporting issue; or any matter that was either the subject of a
disagreement (as defined in paragraph 304(a)(1)(iv) and the related instructions
to Item 304 of Regulation S-K or a reportable event (as described in paragraph
304(a)(1)(v) thereof).
We have provided Total Asia Associates PLT, with a copy of the disclosure
provided under this Item of this Current Report and have advised them to provide
us with a letter addressed to the SEC as to whether they agree or disagree with
the disclosures made herein. A copy of their response is attached hereto and
incorporated herein by this reference. See Item 9.01 of this Current Report.
