Feelux Co., Ltd (KOSE:A033180) agreed to acquire TJU Asset Management, LLC from Coagentus Pharma, LLC for KRW 18.9 billion on April 13, 2018. Under the terms of the transaction, Feelux Co., Ltd will acquire 1,000 shares of TJU Asset Management, LLC. In a related deal, Feelux Co., Ltd will acquire Penn Life Science, LLC from Coagentus Pharma, LLC for KRW 18.9 billion. The consideration for both the transaction will be set off against the payment of private placement of Feelux Co., Ltd to Coagentus Pharma, LLC of 6.3 million shares. For the year ended 2017, TJU Asset Management, LLC reported total assets of KRW 13.9 billion and total capital of KRW 13.9 billion. The transaction was resolved by the board of Feelux Co., Ltd on April 13, 2018. The payment for the transaction has been made on April 17, 2018. The transaction is expected to close on April 17, 2018. Jung Dong Accounting Corporation acted as the external rating institution.
