Hangzhou Minghan Investment Management Co., Ltd. signed a share transfer agreement to acquire 15.6% stake in Kelin Environmental Protection Equipment, Inc. (SZSE : 002499) from seven individuals for approximately 130 million on December 16, 2020. Under the terms of the transaction 29.390722 million shares will be acquired at CNY 4.4745 per share. Song Qidi, Zhang Genrong, Xu Tianping, Zhou Xingxiang, Chen Guozhong, Wu Jianxin and Zhou Herong will sell 18.109351 million, 4.192419 million, 3.247 million, 2.008457 million, 0.751239 million, 0.653828 million and 0.428428 million shares. Post completion Hangzhou Minghan Investment stake will increase from 2.95% to 18.5% and Song Qidi will hold 4.73% stake. Within 3 days after this agreement takes effect Hangzhou Minghan Investment will pay 20% of the consideration to a designated account. Within 3 days after the entry into force of this agreement, both parties shall be responsible for preparing their own part of the equity change report, notify Kelin Environmental Protection, and Kelin Environmental Protection shall make an announcement. Within 30 trading days after Hangzhou Minghan completes the aforementioned 20% payment obligation and both parties complete the information disclosure obligation both the parties shall jointly apply to the Legal Department of the Shenzhen Stock Exchange for preliminary completeness verification. Within 7 trading days after obtaining the Shenzhen Stock Exchange "Share Agreement Transfer Confirmation Hangzhou Minghan shall pay remaining 80% in the bank. Within 5 working days after obtaining the "Confirmation Opinion on Transfer of Share Agreement" from the Shenzhen Stock Exchange and Hangzhou Minghan both the parties shall submit to China Securities Depository and Clearing Co., Ltd. go to the registration and settlement company to handle the share transfer registration.
