HANGZHOU LANDSCAPE ARCHITECTURE DESIGN INSTITUTE CO., LTD. Hangzhou Landscape Architecture Design Institute Co., Ltd. (SZSE:300649) agreed to acquire 30% stake in Hangzhou Wanlin Digital Chain Technology Service Co., Ltd from Huzhou Leqie Xunda Technology Service Partnership (Limited Partnership) for CNY 45 million. Hangzhou Landscape Architecture Design Institute Co., Ltd. will pay 40% of the transfer payment, namely CNY 18 million, within 3 working days after the completion of the industrial and commercial change registration procedures for equity transfer stipulated in this agreement; Within the next 90 calendar days, 60% of the transfer payment, namely CNY 27 million. The equity interest in the target company will be from 10% to 40% in Hangzhou Wanlin Digital Chain Technology Service Co., Ltd. Hangzhou Landscape Architecture Design Institute Co., Ltd.held the twelfth meeting of the fourth board of directors and the tenth meeting of the fourth board of supervisors on December 24, 2021 to review and approve this transaction.
All parties to the agreement unanimously agree that transfer the shares of the target company by way of equity transfer.
