DISCLOSEABLE AND CONNECTED TRANSACTION

ACQUISITION OF 49% EQUITY INTERESTS

IN A NON-WHOLLY OWNED SUBSIDIARY

Reference is made to the announcement of the Company dated 1 March 2021 in relation to the acquisition of 49% equity interests in a non-wholly owned subsidary (the "Announcement"). Unless otherwise defined, capitalised terms used herein shall have the same meanings as defined in the Announcement.

The Board is pleased to announce that all of the conditions precedent as set out in the Equity Transfer Agreement have been fulfilled and registration in relation to the transfer of equity interests with Hangzhou Market Supervision and Administration Bureau€؄ψ̹̹ఙ္ຖ၍ଣ҅has been completed on 16 March 2021. The Target Company has become an indirect wholly-owned subsidiary of the Company.
