COMUNICADO SOBRE TRANSAÇÕES ENTRE PARTES RELACIONADAS

CCR S/A ("CCR" or "Company") (BM&FBovespa Ticker: CCRO3; Bloomberg: CCRO3BZ; Reuters: CCRO3.SA), pursuant to CVM Instruction 480, dated December 07, 2009, as amended ("CVM Instruction 480"), hereby informs its shareholders and the market in general that on February 22, 2017, Rodonorte - Concessionária de Rodovias Integradas S.A. ("Rodonorte") (directly controlled by the Company), and the consortium of companies J. Malucelli Construtora de Obras S/A, indirect controlling shareholder of Rodonorte, and Greca Distribuidora de Asfaltos Ltda., executed an addendum to the agreement dated September 29, 2016 ("Agreement"), which was announced on October 10, 2016 ("Addendum").

The Addendum aims, among other minor changes, to reduce the scope of services with the exclusion of the services related to the pavement recovery of sections B and I of Rodovia BR- 376 (Rodovia do Café), north and south lanes, which will reduce the overall Agreement amount by fourteen million, nine hundred and three thousand, four hundred and twenty-nine reais and thirty-three centavos (R$14,903,429.33), making the overall Agreement amount to be two hundred and sixty-nine million, eight hundred and thirty-nine thousand, six hundred and twenty-seven reais and seventy-three centavos (R$269,839,627.73).

The scope of the excluded services was subject to a new agreement between the parties, signed on February 22, 2017, whose amount, terms and conditions do not reach the limits set forth in Appendix 30-XXXIII of CVM Instruction 480.

NOTICE ON TRANSACTIONS BETWEEN RELATED PARTIES

CCR S/A ("CCR" or "Company") (BM&FBovespa Ticker: CCRO3; Bloomberg: CCRO3BZ; Reuters: CCRO3.SA), pursuant to CVM Instruction 480, dated December 07, 2009, as amended ("CVM Instruction 480"), hereby informs its shareholders and the market in general that on February 22, 2017, Rodonorte - Concessionária de Rodovias Integradas S.A., controlled by the Company, and Serveng Civilsan Empresas Associadas de Engenharia, controlled by Soares Penido Participações e Empreendimentos S.A., whose controlling shareholder is a relative (brother) of the administrators and controlling shareholders of Soares Penido Concessões S.A. and Soares Penido Obras, Construções e Investimentos S.A. (controlling shareholders of CCR), executed an addendum to the agreement dated October 17, 2016 ("Agreement"), which was announced on October 26, 2016 ("Addendum").

The Addendum aims, among other minor changes, to reduce the scope of services with the exclusion of the services related to the pavement recovery of section E of Rodovia PR-151, regional Jaguariaíva - Piraí do Sul, which will reduce the overall Agreement amount by nine hundred and eighty-six thousand, eight hundred and forty reais and forty-one centavos (R$986,840.41), making the overall Agreement amount to be one hundred and eleven million, nine hundred and fifty-two thousand, nine hundred and twenty-four reais and eighty-nine centavos (R$111,952,924.89).

The scope of the excluded services was subject to a new agreement between the parties, signed on February 22, 2017, whose amount, terms and conditions do not reach the limits set forth in Appendix 30-XXXIII of CVM Instruction 480.
