Oasis Management Submits a Shareholder Proposal to GMO Internet Inc.

On January 19, Oasis Management Company Ltd announced that it has submitted shareholder proposals for GMO Internet Inc. general shareholders meeting which aims to improve the Company's corporate governance and realize sustainable growth for all stakeholders. Oasis Management’s proposals include proposals related to: (1) abolition of the takeover defense measure: (i) abolishment of policy for large scale purchase of the Company’s shares, (ii) partial amendment of the articles of incorporation, and (2) proposals related to governance restructuring: (i) change to the system for company with nominating committee, etc., (ii) prohibition of concurrent posts of president and chairperson of the board of directors, (iii) election of directors by cumulative voting, and (iv) setting compensation amount for directors.
GMO Internet Group Inc, formerly GMO Internet Inc, is engaged in Internet infrastructure business, Internet advertising and media business, Internet finance business, crypto asset business and incubation business. The Company operates through five segments.
