(Stock Code: 8007) SUPPLEMENTAL ANNOUNCEMENT

Reference is made to the announcements (the "Announcements") of Global Strategic Group Limited (the "Company", together with its subsidiaries, the "Group") dated 11 October 2016, 25 October 2016, 1 November 2016, 8 November 2016 and 30 November 2016 in relation to the subscription for and the injection of the registered capital of RMB105,000,000 (equivalent to HK$121,800,000) in Xinjiang Guoliyuan Investment by the Group (the "Subscription"). Unless the context requires otherwise, capitalised terms used herein shall have the same meaning as those defined in the Announcements.

EXTENSION OF LONG STOP DATE

On 4 January 2017, the Subscriber, the Founding Shareholders, Xinjiang Guoliyuan Investment, Shihezi Guoliyuan Environmental Protection, Xinjiang Guoliyuan Environmental Protection, Beijing Kehai and Shenzhen Guononghui entered into a second supplemental agreement (the "Second Supplemental Agreement") in relation to the Subscription.

Under the Subscription Agreement (as supplemented by the supplemental agreement dated 30 November 2016), Completion is conditional upon the fulfilment of all the conditions for completion set out therein. In the event any of the said conditions are not fulfilled on or before 31 December 2016 (the "Long Stop Date") (or such later date as agreed by the Subscriber), the Subscriber may in its absolute discretion terminate the Subscription Agreement. Pursuant to the Second Supplemental Agreement, the parties to the Subscription Agreement agreed to extend the Long Stop Date from 31 December 2016 to 31 January 2017 (or such later date as agreed by the Subscriber).

Save for the above, there are no material changes to the Subscription Agreement. The Board considers that the extension of the Long Stop Date would be in the interests of the Company and the Shareholders as a whole.
