Innovation Inc. and Future Co., Ltd acquired additional 14.5% stake in Future Innovation Group, Inc. from Yuji Murai.

Innovation Inc. (TSE:3970) and Future Co., Ltd agree to acquire additional 14.5% stake in Future Innovation Group, Inc. (TSE:4392) from Yuji Murai on December 15, 2022. Under the terms of transaction,Yuji Murai, the largest shareholder of the Company will transfer 4.2 million shares of the Company's shares to Innovation Co., Ltd and Future Co., Ltd. on December 15, 2022. As a result, there will be a change in major shareholder and the largest major shareholder as Yuji Murai will hold 0.3% stake from 14.8% stake, whereas Innovation Inc and Future Innovation will hold 22.4% and 5.7% stake in Future Innovation respectively. In addition, the acquisition of the Company's shares by Innovation Co., Ltd. and Future Co., Ltd. shall be deemed to be an act equivalent to a tender offer, as stipulated in Article 167, Paragraph 1 of the Financial Instruments and Exchange Law and Article 31 of the Enforcement Order of the same law. The Schedule date of transfer is December 15, 2022.

The information and telecommunication business is engaged in development and sale of mobile management systems, and the maintenance of communication equipment and applications. The equipment related business engages in research, development, manufacture, construction, maintenance management, and sale of unmanned aircrafts and robot control systems. The semiconductor and automotive-related business engages in manufacture and sale of semiconductors and automobile-related manufacturing equipment and molds. The real estate and building related business engages in construction and sale of condominiums and individual houses, the manufacture and sale of home elevators, solar power generation equipment and other devices.
