Clayton, Dubilier & Rice, Inc. signed a definitive agreement to acquire 60% stake in The Capital Markets Company N.V. from Fidelity National Information Services, Inc. (NYSE:FIS) for approximately $440 million on May 23, 2017. Upon closing, Fidelity National Information Services will retain approximately 40% percent equity interest in The Capital Markets. Clayton, Dubilier & Rice obtained committed financing from Barclays, Credit Suisse, BMO Capital Markets, HSBC Securities (USA) Inc., HSBC Bank USA, National Association, and Natixis, New York Branch. On completion, The Capital Markets will become a privately held company operating under The Capital Markets name. Clayton, Dubilier & Rice's operating Partner Russ Fradin, the former Chief Executive Officer of SunGard, will serve as Chairman of The Capital Markets. Lance Levy will continue to serve as The Capital Markets' Chief Executive Officer. The transaction is subject to regulatory approvals and is expected to close in early third quarter of 2017.
