GDF SUEZ issued a bond transaction worth more than EUR 4 Billion

GDF SUEZ issued a EUR 4.25 Billion bond transaction. The issue was
oversubscribed more than 2 times. It is the most important bond transaction
issued by an industrial Group since 2004. The great success of this placement
clearly illustrates the creditworthiness of GDF SUEZ as an issuer and confirms
the market confidence in the long term prospects of the Group.

The transaction consists in three tranches:

* a long 3 years totaling EUR1.75 Billion, 4.375%, maturing 01/16/2012,
* a long 7 years totaling EUR1.5 Billion, 5.625%, maturing 01/18/2016,
* a long 12 years totaling EUR1 Billion, 6.375%, maturing 01/18/2021.
 
This issue is in line with the active liquidity management of the Group. It's
extending the average maturity of the Group's debt while sustaining its strong
level of liquidity. It completes the bond transaction issued in 2008 on the
euro, sterling and Switzerland francs markets for a total amount of EUR 3.6
billion. International Financing Review magazine just awarded the Group with the
" Euro Bond Issue of the year " for the euro bond transaction issued last
October.

The transaction was jointly lead managed by par HSBC, Calyon, BSCH and Merril
Lynch.
