Earth Tech Environment Public Company Limited informed the Stock Exchange of Thailand on 12 March 2024 regarding the signing of the Shareholders' Agreement for the 12 industrial waste-to-energy power plant projects. The Company announced that on April 22, 2024, the Company entered into a Share Purchase Agreement with Gulf West to Energy Holdings Company Limited ("GWTE"), a subsidiary of Gulf Energy Development Public Company Limited, which holds 100% of shares, to jointly develop the project for industrial waste-to-energy power plants. The signing of a share purchase agreement between ETC and GWTE to participate in investing in a 50.

00% shareholding of Get Green Power Limited Company (GGP), the developer of 10 industrial waste-to-energy Power plant projects. A power purchase agreement for a duration of 20 years with the Provincial Electricity Authority was signed on October 16, 2023. Size of contracted power production capacity 8 megawatts per project, total 80 megawatts (1 subsidiary: 1 project: 8 megawatts) All projects are scheduled to open for commercial operation in 2026.

The Signing of a share purchase agreement between ETC and GWTE, along with Westech Exponential Company Limited for ETC to become a shareholder in 2 industrial waste power plant projects under Suntech Innovation Power Company Limited ("SIP") by purchasing capital increase shares. Presently, GWTE and WTX hold 51.00% and 49.0% of shares in SIP, respectively. Following the aforementioned capital increase, the shareholding proportions in SIP for ETC, GWTE, and WTX will be 33.00%, 34.00%, and 33.00%, respectively.

The 2 industrial waste power plants under SIP have a combined contracted electricity generation capacity of 16 megawatts. A power purchase agreement for an duration of 20 years with the provincial Electricity Authority was signed on October 15, 2023. After the above transactions, the Group will have a total of 15 industrial waste power plant projects in Thailand that have signed power purchase agreements with PEA under the Fees-in-Tariff (FiT) model.

The contracted power production capacity is 112.50 megawatts. The power plants operated by Earth Tech Environment Public Company Limited and its subsidiaries are established with the aim of enhancing energy security and prioritize environmental stewardship, aligning with the government's policy to address the country's industrial waste issue while also adhering to environmental preservation principles by minimizing greenhouse gas emissions. Additionally, the approach helps reduce waste generated during the production process by converting it into energy.

This initiative presents a significant opportunity to foster a circular economy, in harmony with the government's overarching policy on Bio-Circular-Green Economy or BCG. If there is further progress in the project development, the company will inform the details.
