COVA Acquisition Corp. announced that it received a notice dated May 28, 2021 (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that, as a result of not having timely filed with the Securities and Exchange Commission (the “SEC”) its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2021 (the “Q1 2021 Form 10-Q”), the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (the “Nasdaq Listing Rule”), which requires listed companies to timely file all required periodic financial reports with the SEC. The Notice has no immediate impact on the listing or trading of the Company’s securities on the Nasdaq Capital Market. As previously reported in the Form 12b-25 filed with the SEC on May 17, 2021, the Company was unable to file the First Quarter 2021 Form 10-Q by the prescribed due date of May 17, 2021 without unreasonable effort and expense. The Company was unable to file the First Quarter 2021 Form 10-Q by the extension date of May 24, 2021 but subsequently filed the First Quarter 2021 Form 10-Q with the SEC on June 1, 2021. As a result of such filing, the Company expects to regain compliance with the Nasdaq Listing Rule.
