Item 8.01 Other Events

Compass Group Diversified Holdings LLC and Compass Diversified Holdings (NYSE:
CODI) (collectively, "CODI") reported that CODI will make a cash distribution of
$0.36 per common share for the fourth quarter of 2019. The distribution is
payable on January 23, 2020 to shareholders of record on the close of business
on January 16, 2020. CODI also announced that CODI will make a distribution on
their 7.250% Series A Preferred Shares (the "Series A Preferred Shares"), their
7.875% Series B Preferred Shares (the "Series B Preferred Shares") and their
7.875% Series C Preferred Shares (the "Series C Preferred Shares"), payable on
January 30, 2020 to holders of record as of January 15, 2020. The distribution
for the Series A Preferred Shares and the Series B Preferred Shares covers the
period from and including October 30, 2019, up to, but excluding January 30,
2020. The distribution for the Series C Preferred Shares covers the period from
and including November 20, 2019, the original issuance date of the Series C
Preferred Shares, up to but excluding January 30, 2020. A copy of the press
release announcing such distribution is attached hereto as Exhibit 99.1 and is
incorporated by reference herein.
