SECTION 249D REQUISITION TO HOLD A GENERAL MEETING OF SHAREHOLDERS
Emerging independent coal company, Coalworks Limited (ASX:
CWK or "Coalworks") advises that it has received a
requisition from Macquarie Bank Limited ("Macquarie") to hold
a general meeting of shareholders of Coalworks, pursuant to
section 249D of the Corporations Act 2001 (Cth).
The purpose of the request is to remove two directors of
Coalworks, Mr Wayne Mitchell (Non-Executive Chairman) and Mr
Andrew Firek (CEO and Managing Director) and replace the
directors with Macquarie's two proposed directors, Mr Anthony
J. Ferguson and Mr Johann C. Jooste-Jacobs.
Coalworks will verify that the requisition complies with the
Corporations Act and if satisfied will call a general meeting
of shareholders in accordance with the timeline requirements
of the Corporations Act 2001(Cth).
The board of Coalworks will communicate to shareholders in
due course its recommendations with regard to the proposed
resolutions.
