5.Cause of occurrence:The proposal for the capital reduction was
approved by the 2022 shareholders' meeting.
6.Countermeasures:
(1) In order to improve Return On Equity and optimize the
capital structure, the proposal of a cash reduction and refund
to shareholders has been approved through the resolution of
shareholders on June 17, 2022.
(2)The Company's current paid-in capital is NT$11,588,812,000,
from which deducting 69,532,872 ordinary shares canceled,
the capital reduction of NT$695,328,720 accounts for 6%. After
canceling the refunded shares recorded in the shareholder register
on the record date of replacement of share certificates, the
Company's paid-in capital will be NT$ 10,893,483,280.
(3) If you have any objection to the capital reduction proposal,
please submit it in writing to the Company within 31 days from
the date of the announcement so that the Company can it in
accordance with the provisions of Articles 281, applying
mutatis mutandis the provisions of Article 73 and Article 74
of Company Act. It is hereby announced that you will be
regarded as having no objection if not expressing the objection
after the deadline.
