ANNOUNCEMENT REGARDING THE APPOINTMENT OF MR. LIU XIAO AS AN EXECUTIVE VICE PRESIDENT AND THE CHIEF OPERATING OFFICER OF THE COMPANY

This annoucement is made in pursuant of Part XIVA in Securities and Futures Ordinance (Chapter 571 of the laws of Hong Kong) ("Securities and Futures Ordinance") and Rule 13.10B in the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limtied (the "Listing Rules").

The board of directors (the "Board") of China Vanke Co., Ltd.* (the "Company", together with its subsidiaries, the "Group") hereby announces that the tenth meeting of the nineteenth session of the Board has reviewed and approved the appointment of Mr. LIU Xiao ("Mr. LIU") as an executive vice president and the chief operating officer of the Company. The term of office of Mr. LIU will commence from the date of approval of the Board to the expire of term of the nineteenth session of the Board. Mr. WANG Haiwu, an executive director of the Company, will cease to concurrently hold positions as an executive vice president and the chief operating officer of the Company, subject to other assignment.

Details of Mr. LIU's biography are as follows:

Mr. LIU Xiao, born in 1979, currently is an executive vice president and the chief operating officer of the Company. Mr. LIU joined the Group in 2009, and used to hold positions as general manager of investment, financing and marketing department of the Company, the general manager of Zhejiang Vanke Nandu Real Estate Company Limited, a subsidiary of the Company, chief partner and cheif executive of Business Group (BG) of Northern District, and concurrently held position as chief partner of Beijing Vanke Enterprise Company Limited, also a subsidiary of the Company. Before joining the Group, Mr. LIU used to work in Mckinsey & Company. Mr. LIU graduated from Renmin University of China with bachelor degree and master degree of economics in world economics major in 2000 and 2003 respectively, and graduated from Harvard Business School with master degree of business administration in 2008.

Saved as disclosed above, as at the date of this announcement, Mr. LIU (i) does not have relationship with any directors, supervisors, senior management of the Company and substantial shareholders of the Company;

1. holds positions as director and/or management of certain subsidiaries of the Group; (iii) has not held any directorship in any other listed companies in the past three years; and (iv) does not have any interests or short positions in any shares, underlying shares or debentures of the Company or any of its associated corporations within the meaning of Part XV of the Securities and Futures Ordinance.

Saved as disclosed above, there is no information relating to Mr. LIU that is required to be disclosed pursuant to Rule 13.51(2)(h) to 13.51(2)(v) of the Listing Rules, nor is there any other matter concerning Mr. LIU that needs to be brought to the attention of the shareholders of the Company.
