CLARIFICATION ANNOUNCEMENT -

AMENDMENTS TO THE TERMS AND CONDITIONS

OF CONVERTIBLE BOND

AND

PROPOSED SHARE CONSOLIDATION

Reference is made to the announcement of the Company dated 28 August 2020 in relation to the amendments to the terms and conditions of convertible bond (the "Announcement"). Unless otherwise stated, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

PROPOSED SHARE CONSOLIDATION

Pursuant to Rule 13.64 of the Listing Rules, where the market price of the securities of the issuer approaches the extremities of HK$0.01 or HK$9,995.00, the issuer is required either to change the trading method or to proceed with a consolidation or splitting of its securities. In view of the trading price of the Shares, the Company is considering a proposed share consolidation (the "Proposed Share Consolidation") of its existing Shares of HK$0.1 each into consolidated shares in order to comply with the trading requirements of the Listing Rules.

Should the Proposed Share Consolidation materialise, further announcement(s) will be made in respect of the timetable and terms and conditions of the Proposed Share Consolidation in accordance with the applicable requirements of the Listing Rules as and when appropriate. Shareholders and potential investors of the Company are advised to exercise caution when dealing in the securities of the Company.

CLARIFICATION ON THE ANNOUNCEMENT

The Company wishes to clarify that the Proposed Amendments are subject to the Proposed Share Consolidation becoming effective.
