Brigadier Gold Limited announced a private placement of units at price of CAD 0.07 per unit on May 18, 2023. Each unit is comprised of one common share and one common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share of brigadier at an exercise price of CAD 0.15 for a period of twelve months from the date of issuance. All securities issued in connection with the transaction, and any common shares issued in connection with the exercise of warrants or compensation warrants, will be subject to a four month hold period in accordance with applicable securities laws and the policies of the Exchange.

On the same date, The company issued 9,574,513 units at a price of CAD 0.07 per unit for proceeds of CAD 670,215.91 in its first tranche closing. The company paid cash commissions to qualified non-related parties in the aggregate amount of CAD 35,169 and issued an aggregate of 502,415 compensation warrants entitling the holders to acquire one common share at a price of CAD 0.07 per share for a period of twelve months from the date of issuance. The company expects to complete a second and final closing for gross proceeds of approximately CAD 110,000.
