RESIGNATION OF NON-EXECUTIVE DIRECTOR,

CHAIRMAN AND NOMINATION COMMITTEE CHAIRMAN

The Board of Directors (the "Board") of BOC Aviation Limited (the "Company") announces that Mr. Sun Yu has resigned as a Non-executive Director, Chairman of the Board and Chairman of the Nomination Committee with effect from 23 December 2020 due to being appointed to a new role.

Mr. Sun Yu has confirmed that he has no disagreement with the Board and there is no matter with respect to his resignation that needs to be brought to the attention of the shareholders of the Company. The Board would like to take this opportunity to express their gratitude to Mr. Sun for his contribution during his term of office.

The Company will announce the appointment of the successor Chairman of the Board and Chairman of the Nomination Committee in due course.
