MINUTES OF THE HUMANS, REMUNERATION AND ELIGIBILITY COMMITTEE

EXTRAORDINARY MEETING HELD ON JANUARY 10TH, 2023

On January 10th, 2023, at 9:30 a.m an extraordinary meeting of the Humans, Remuneration and Eligibility Committee (Corem) of Banco do Brasil S.A. (CNPJ: 00.000.000/0001-91), was held, at Setor de Autarquias Norte, Quadra 5, Lote B, Torre Norte, 16th floor, Asa Norte - Brasília (DF), under the coordination of Mr. Egidio Otmar Ames, with participation of Mr. Aramis Sá de Andrade, Mr. Ênio Mathias Ferreira, Mrs. Neleide Abila and Mr. Paulo Roberto Evangelista de Lima.

1. The coordinator stated that, according to the call, the agenda would be limited to the appreciation of the nomination of Mrs. Tarciana Paula Gomes Medeiros for the position of Chief Executive Officer of Banco do Brasil S.A.
2. The coordinator clarified that:
3. 1. it is the responsibility of Corem to verify the compliance of the process and to opine, in order to assist shareholders in the nomination of officers, and members of advisory committees to the Board of Directors and Supervisory Board, on the fulfillment of the requirements and the absence of prohibitions for the respective elections (Bylaws, art. 34, §6°, IV and V; and art. 21, I, of Decree 8,945/2016);
   2. the nominee' documents were made available on the Governance Portal, in the usual form.
4. After examining the documents, Corem identified that:
5. 1. the nomination is accompanied by the Standard Registration Form of the Ministry of Economy (Form A); the prior analysis of compatibility carried out by the Executive Secretariat of the Ministry of Economy, on 01/09/2023; the Registration Form of Nominees for the Executive Board of Banco do Brasil and proof of approval by the Executive Office of the Presidency of the Republic;
   2. the process is in compliance, instructed with the required documents, which support the information provided by the nominee through the Registration Forms, as recommended in art. 30 of Decree 8945/2016;
   3. the legal opinion #0004060302-001, of January 03rd, 2023, attached to the process, corroborates the understanding that the compliance with the general requirements, the fulfillment of the minimum requirements, and the absence of impediments, restrictions, or barriers to the election of the nominee are adequately proven;

1. After analyzing the nomination, the COREM concluded that the candidate proved to have the academic background, professional experience, unblemished reputation, moral standing, and technical capacity compatible with the functions for which was nominated, which evidences the adherence to the profile desired for the position being filled and the absence of impediments and restrictions, as required in art. 28 of Decree 8,945/2016, art. 17 of Law 13,303/2016, arts. 13 and 24, §4º, I and II, of the Bylaws and BB's Specific Nomination and Succession Policy;
2. Given the above, based on the support material made available, the committees unanimously opined in favor of Mrs. Tarciana Paula Gomes Medeiros for the position of Chief Executive Officer of Banco do Brasil S.A., in accordance with opinion 2023/0024.

There being no further business to discuss, Mr. Coordinator closed the meeting, in which I, Leandro Dias Guia, Secretary, drafted these minutes, which were read, agreed with, and signed by the members of the Committee.
