Announcement Regarding Transfer of a Representative Director, Retirement of a Director, and Nomination of New Prospective Directors

At the meeting of its Board of Directors held today, Avex Group Holdings Inc. (the "Company") made the following informal decisions regarding a Representative Director and a Director, who will retire as of the close of the 29th general meeting of shareholders scheduled on June 24, 2016, and new prospective Directors, who will be appointed at the 29th general meeting of shareholders.

1. Transfer of a Representative Director

   *Mr. Takeuchi will retire as a Director due to the expiration of his term as of the close of the 29th general meeting of shareholders scheduled for June 24, 2016.
