Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Amended and Restated Certificate of Incorporation

On January 12, 2021, the Company amended and restated its Certificate of Incorporation (the "Amended and Restated Certificate of Incorporation"). A description of the Amended and Restated Certificate of Incorporation is set forth in the section of the Company's final prospectus, dated January 12, 2021 (the "Prospectus"), entitled "Description of Capital Stock." The Amended and Restated Certificate of Incorporation is the same as previously described in the Company's Registration Statement on Form S-1 (File No. 333-250184) (the "Registration Statement") and is in such form as was previously filed as an exhibit to the Registration Statement. Amended and Restated Bylaws

On January 12, 2021, the Company adopted amended and restated bylaws (the "Amended and Restated Bylaws"). The Amended and Restated Bylaws are the same as those previously described in the Registration Statement and are in such form as was previously filed as an exhibit to the Registration Statement. Item 8.01. Other Events.

On January 15, 2021, the Company closed its initial public offering (the "IPO") of 28,290,000 shares of its Class A common stock, $0.00001 par value per share (the "Common Stock"), including 3,690,000 shares pursuant to the option granted to the underwriters to purchase additional shares of Common Stock, at an offering price of $49.00 per share, pursuant to the Company's Registration Statement. The proceeds, before expenses, to the Company from the IPO were $1,312,047,765.
