Adobe Systems Incorporated (NasdaqGS:ADBE) entered into a definitive agreement to acquire Magento, Inc. from Permira Advisers Ltd. and Hillhouse Capital Management, Ltd. for $1.7 billion on May 21, 2018. The consideration is subject to customary purchase price adjustments. Until the transaction closes, each company will continue to operate independently. Magento reported revenues of $150 million in 2017. Pursuant to the transaction, Magento's Chief Executive Officer Mark Lavelle will continue to lead the Magento team as part of Adobe’s Digital Experience business, reporting to Executive Vice President and General Manager Brad Rencher. The transaction is subject to regulatory and antitrust approval and customary closing conditions. As of June 6, 2018, the Federal trade commission granted the early termination notice. The transaction is expected to close during the third quarter of 2018.
