REDEMPTION OF CONVERTIBLE BONDS

References are made to the announcements of Green International Holdings Limited (the

"Company") dated 27 November 2015, 28 December 2015, 15 January 2016, 16 January 2017 and

10 February 2017 regarding the issue of the Convertible Bonds in the principal amount of HK$40,000,000 due on the first anniversary of the issue date and the Amendments of its terms and the announcement of the Company dated 10 February 2017 regarding the Legal Proceedings (collectively "Announcements"). Capitalised terms used in this announcement shall have the same meanings as those defined in the Announcements unless otherwise stated.

Pursuant to the terms and conditions of the Convertible Bonds, the Convertible Bonds matured on 15 April 2017. On 14 April 2017, the Company issued a redemption notice to the holder (as entered to the Company's register) of the Convertible Bonds to notify the holder the exercise of the Company's right pursuant to the terms and conditions of the Convertible Bonds, to have the entire outstanding Convertible Bonds redeemed.

In the meantime, the Company is defending the Legal Proceedings. The Board and the Company's legal advisers are dealing with the Legal Proceedings in respect of the subject matter.

The Company will make further announcement(s) to keep its shareholders and investors informed of any significant development of the redemption of the Convertible Bonds and the Legal Proceeding as and when appropriate.
