MATERIAL FACT

WIZ SOLUÇÕES E CORRETAGEM DE SEGUROS S.A. (B3:WIZS3) ("Company" or "WIZ"), pursuant to the provisions of Law n. 6.404/76, of December 15th, 1976, and CVM Instruction n. 358, of January 3rd, 2002, as amended and currently in effect, comes to its shareholders and the market in general, to inform that, on this date, the Company entered into an amendment to the Commercial Agreement signed by the Company and Caixa Seguridade Participações S.A., on August 9, 2018, effective until February 14, 2021 ("First Amendment").

The First Amendment governs the transition of the activities currently performed by Wiz to Caixa Seguridade's own broker and to the insurance co-broker(s) that eventually wins the Competitive Process, as announced by Caixa Seguridade Participações SA, on December 23, 2020.

The transition period will begin on February 15, 2021, and will extend for a period of 6 (six) months, ending on August 15, 2021 ("Transition Period").

The Company will receive a commission on all products sold during the transition period, except mortgage insurance, as follows:

1. in the period from February 15, 2021, to March 14, 2021, the Company will receive remuneration in amounts identical to the commissions currently practiced, based on 100% of the sales made;
2. in the period from March 15, 2021, to April 14, 2021, will receive remuneration corresponding to 90% of the commissions currently practiced, based on 95% of the sales made;
3. in the period from April 15, 2021, to May 14, 2021, will receive remuneration corresponding to 80% of the commissions currently practiced, based on 95% of the sales made;
4. in the period from May 15, 2021, to June 14, 2021, will receive remuneration corresponding to 70% of the commissions currently practiced, based on 95% of the sales made;
5. in the period from June 15, 2021, to July 14, 2021, will receive remuneration corresponding to 60% of the commissions currently practiced, based on 95% of the sales made;

1. in the period from July 15, 2021, to August 15, 2021, will receive remuneration corresponding to 50% of the commissions currently practiced, based on 90% of the sales made;

During the Transition Period, Wiz will cooperate and provide Caixa Seguridade with all necessary support, including making available all tools, processes, software, and platforms.

On the same occasion, Wiz acknowledged the compliance of the Competitive Process carried out by Caixa Seguridade Participações S.A., started on December 23, 2020, the result of which will be disclosed in due course by Caixa Seguridade Participações S.A.

Additionally, Caixa Seguros Holding SA, a Wiz shareholder, authorized the Company to sell consortium products from any consortium administrators, revoking an exclusivity clause in contractual instruments entered into between the Company, Caixa Seguros Holding SA, and its wholly-owned subsidiary Caixa Consórcios Administradora de Consórcios SA

As a result of this release, the Company is authorized to distribute, sell, offer and promote consortia products of any company.
